PLEASE READ THESE PROVIDER TERMS OF SERVICE CAREFULLY BEFORE REGISTERING FOR OR USING CASHPAYCLINICS.
 
These Provider Terms of Service ("Terms") govern the registration, listing, access, and use of the CashPayClinics platform by healthcare professionals, healthcare facilities, practices, clinics, laboratories, imaging centers, pharmacies where applicable, and other healthcare-related businesses or their authorized representatives (collectively, "Providers").
 
Throughout these Terms, "CashPayClinics," "Company," "we," "us," or "our" refers to CashPayClinics and the entity operating the CashPayClinics platform.
 
By creating a Provider account, checking the applicable acceptance box, submitting registration information, accessing a Provider account, or otherwise using the CashPayClinics platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies incorporated into them by reference.
 
If you do not agree to these Terms, you should not create or use a Provider account.
 
 
1. ABOUT CASHPAYCLINICS
 
CashPayClinics is an online healthcare marketplace designed to help consumers locate healthcare professionals and facilities offering healthcare services on a direct-pay or self-pay basis.
 
The platform may allow patients to:
 
- Search for participating Providers and facilities;
- Review Provider profiles;
- View services and self-pay prices;
- Compare Providers;
- Request appointments;
- Communicate information related to appointment requests; and
- Access other marketplace features made available by CashPayClinics.
 
CashPayClinics is a technology and marketplace platform.
 
CashPayClinics is not a healthcare provider, medical practice, hospital, laboratory, pharmacy, health plan, or insurance company and does not itself provide medical care.
 
CashPayClinics does not practice medicine, diagnose medical conditions, prescribe medications, recommend specific treatments, or make clinical decisions on behalf of Providers or patients.
 
 
2. INDEPENDENT PROVIDERS
 
Providers listed on CashPayClinics are independent healthcare professionals, facilities, or businesses.
 
Unless expressly agreed otherwise in writing, Providers are not employees, agents, partners, joint venturers, representatives, or contractors authorized to act on behalf of CashPayClinics.
 
CashPayClinics does not direct or control a Provider's professional judgment or clinical decision-making.
 
Each Provider remains solely responsible for:
 
- Evaluating patients;
- Determining whether a requested service is medically appropriate;
- Obtaining appropriate informed consent;
- Making diagnoses;
- Ordering tests;
- Prescribing medications;
- Providing treatment;
- Maintaining medical records;
- Providing follow-up care;
- Making referrals;
- Complying with applicable professional standards; and
- Complying with all applicable federal, state, and local laws and regulations.
 
Nothing displayed on CashPayClinics should be interpreted as CashPayClinics recommending, endorsing, supervising, or guaranteeing any particular Provider or medical service.
 
 
3. PROVIDER ELIGIBILITY
 
A Provider account may be created only by an individual or organization legally authorized to provide or offer the healthcare services represented on the platform or by an individual authorized to act on behalf of such Provider or organization.
 
By registering, the Provider represents and warrants that:
 
1. All information submitted is truthful, accurate, current, and complete;
2. The Provider possesses all licenses, registrations, permits, certifications, and other authorizations required to provide the services listed;
3. The Provider is legally permitted to provide those services in the jurisdictions in which the Provider practices;
4. Any person creating an account on behalf of an organization has authority to bind that organization to these Terms; and
5. The Provider will promptly update information that becomes inaccurate, expired, incomplete, or misleading.
 
 
4. PROFESSIONAL LICENSES AND CREDENTIALS
 
Providers are responsible for maintaining all professional licenses, registrations, certifications, permits, and credentials required by applicable law.
 
Providers must immediately notify CashPayClinics if a professional license or authorization relevant to services listed on the platform is:
 
- Suspended;
- Restricted;
- Revoked;
- Expired;
- Surrendered;
- Subject to material disciplinary action; or
- Otherwise no longer valid.
 
CashPayClinics may request documentation reasonably necessary to verify a Provider's identity, professional credentials, business information, or authority to practice.
 
CashPayClinics may suspend, restrict, reject, or remove a Provider listing when credentials cannot be verified or when CashPayClinics reasonably believes information supplied by a Provider is inaccurate or misleading.
 
Verification performed by CashPayClinics does not constitute an endorsement, guarantee, or continuing certification of a Provider's qualifications.
 
 
5. PROFESSIONAL LIABILITY AND INSURANCE
 
Each Provider is solely responsible for maintaining professional liability, malpractice, general liability, or other insurance required by applicable law or reasonably appropriate for the Provider's professional activities.
 
CashPayClinics does not provide malpractice or professional liability insurance to Providers.
 
CashPayClinics is not responsible for professional liability claims arising from services provided or not provided by a Provider.
 
 
6. PROVIDER ACCOUNT RESPONSIBILITIES
 
Providers are responsible for maintaining the security and confidentiality of their account credentials.
 
Providers agree to:
 
- Use accurate registration information;
- Maintain a secure password;
- Protect verification codes and account credentials;
- Restrict account access to authorized individuals;
- Keep contact information current;
- Notify CashPayClinics promptly of suspected unauthorized access; and
- Use the platform only for legitimate business and healthcare-related purposes.
 
Providers are responsible for activity conducted through their accounts by persons whom they authorize to access the platform.
 
 
7. PROVIDER PROFILES AND LISTINGS
 
Providers are responsible for ensuring that information displayed on their profiles is accurate and current.
 
This includes, when applicable:
 
- Provider name;
- Professional title;
- Specialty;
- Credentials;
- Facility name;
- Facility address;
- Telephone number;
- Professional photograph;
- Facility photographs;
- Services offered;
- Self-pay prices;
- Office hours;
- Appointment availability;
- Payment information; and
- Other information displayed to patients.
 
Providers must promptly correct inaccurate information.
 
CashPayClinics may edit formatting, categories, spelling, or presentation of listing information for consistency, clarity, search functionality, or platform operation, provided that such edits do not intentionally materially misrepresent the Provider.
 
 
8. PRICING AND PRICE TRANSPARENCY
 
Providers are responsible for the prices they publish or authorize CashPayClinics to publish.
 
Prices should accurately represent the Provider's self-pay price for the service described, subject to any clearly disclosed limitations.
 
Providers must not intentionally advertise false, deceptive, or misleading prices.
 
Healthcare needs may change after evaluation. Accordingly, the final amount charged by a Provider may differ when additional services, testing, procedures, medications, supplies, or treatment are medically necessary or requested.
 
Providers are responsible for explaining additional charges directly to patients and complying with applicable laws concerning healthcare pricing and billing.
 
CashPayClinics does not independently determine the Provider's medical fees unless expressly stated otherwise.
 
 
9. SELF-PAY MARKETPLACE
 
CashPayClinics is primarily designed to facilitate access to healthcare services offered on a direct-pay or self-pay basis.
 
Unless expressly stated otherwise, CashPayClinics does not submit insurance claims, determine insurance eligibility, guarantee insurance reimbursement, or represent that services listed on the platform will be reimbursed by an insurer.
 
Providers remain responsible for complying with any laws, contracts, or professional obligations that may apply to their billing practices.
 
 
10. APPOINTMENT REQUESTS
 
An appointment request submitted through CashPayClinics does not necessarily constitute a confirmed appointment.
 
Providers remain responsible for accepting, declining, rescheduling, or otherwise managing appointment requests according to the functionality provided by the platform.
 
CashPayClinics does not guarantee:
 
- Provider availability;
- Acceptance of an appointment request;
- Appointment confirmation;
- Provider response times;
- Patient attendance;
- Availability of a particular service; or
- Any particular medical outcome.
 
Providers should maintain reasonably accurate availability information and respond to appointment requests in a timely manner.
 
 
11. PROVIDER-PATIENT RELATIONSHIP
 
CashPayClinics does not create the professional relationship between a Provider and patient.
 
Any physician-patient, clinician-patient, facility-patient, or other professional healthcare relationship exists solely between the Provider and patient according to applicable law.
 
The Provider is solely responsible for determining when such a relationship has been established and for satisfying all legal and professional obligations arising from that relationship.
 
 
12. MEDICAL EMERGENCIES
 
CashPayClinics is not an emergency medical service.
 
Providers should not represent CashPayClinics as an appropriate method of obtaining emergency medical care.
 
Patients experiencing a medical emergency should be directed to call 911 or seek immediate emergency medical assistance as appropriate.
 
 
13. SUBSCRIPTION AND PLATFORM FEES
 
CashPayClinics may charge Providers subscription, listing, transaction, payment-processing, promotional, or other platform-related fees.
 
Applicable fees will be disclosed to Providers before they become payable.
 
Unless otherwise stated, Providers authorize CashPayClinics or its payment processor to charge the payment method associated with the Provider account for applicable recurring fees.
 
CashPayClinics may change its fees or subscription plans upon reasonable notice.
 
Unless otherwise required by law or expressly stated by CashPayClinics, fees already paid are non-refundable.
 
Promotional or free subscription periods may be subject to separate promotional terms.
 
 
14. PAYMENT PROCESSING
 
CashPayClinics may use third-party payment processors to facilitate payments.
 
Providers agree that payment transactions may also be subject to the payment processor's terms, privacy policies, processing fees, chargeback procedures, and other requirements.
 
CashPayClinics is not responsible for interruptions, holds, delays, errors, or other actions attributable solely to independent payment processors.
 
Providers remain responsible for applicable taxes, fees, refunds, chargebacks, and other financial obligations associated with their services unless CashPayClinics expressly agrees otherwise in writing.
 
 
15. CANCELLATIONS, REFUNDS, AND PATIENT DISPUTES
 
Providers are responsible for clearly communicating any Provider-specific cancellation, no-show, rescheduling, or refund policies applicable to healthcare services.
 
Disputes concerning the quality, appropriateness, delivery, or outcome of medical services are primarily matters between the patient and the Provider.
 
CashPayClinics may assist with marketplace-related disputes but is not obligated to resolve clinical or professional disputes between Providers and patients.
 
 
16. PRIVACY AND PATIENT INFORMATION
 
Providers must handle personal and health-related information in accordance with all applicable privacy and data-protection laws.
 
Providers must not use patient information obtained through CashPayClinics for unauthorized purposes.
 
Providers must implement reasonable administrative, technical, and physical safeguards appropriate to the information they receive or maintain.
 
Providers are responsible for determining and satisfying their own obligations under HIPAA and other applicable federal and state privacy laws.
 
CashPayClinics' collection and use of information is further described in the CashPayClinics Privacy Policy.
 
 
17. HIPAA AND HEALTH INFORMATION
 
To the extent HIPAA applies to a Provider or to particular services or information exchanged through CashPayClinics, the Provider remains responsible for its own compliance with HIPAA and related regulations.
 
Nothing in these Terms should be interpreted as transferring a Provider's legal privacy, security, documentation, or medical-record responsibilities to CashPayClinics.
 
Where legally required, additional agreements, including a Business Associate Agreement, may apply.
 
 
 
18. SMS AND ELECTRONIC COMMUNICATIONS
 
By registering and providing a mobile telephone number, Providers consent to receive transactional communications related to their CashPayClinics account.
 
These communications may include:
 
- One-time verification codes;
- Appointment requests;
- Appointment updates;
- Account alerts;
- Security notifications; and
- Other operational communications related to use of the platform.
 
Message frequency may vary. Message and data rates may apply.
 
Providers may reply STOP to applicable SMS messages to opt out where supported and may reply HELP for assistance.
 
Opting out of certain operational communications may limit the Provider's ability to use features that depend on those communications.
 
Consent to receive marketing messages, if CashPayClinics ever offers such messages, will be obtained separately when required by law.
 
 
19. THIRD-PARTY SERVICES
 
CashPayClinics may rely upon third-party service providers for functions including:
 
- Website hosting;
- Cloud infrastructure;
- Payment processing;
- SMS delivery;
- Email delivery;
- Analytics;
- Cybersecurity;
- Identity verification;
- Maps and location services; and
- Other technology services.
 
CashPayClinics is not responsible for failures caused solely by third-party services outside its reasonable control.
 
Use of certain third-party services may be subject to separate terms and privacy policies.
 
 
20. PROVIDER CONTENT
 
Providers may submit photographs, logos, descriptions, pricing, credentials, service information, and other materials ("Provider Content").
 
The Provider represents that it owns or has sufficient rights to use and provide such content.
 
By submitting Provider Content, the Provider grants CashPayClinics a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, distribute, and use that content as reasonably necessary to:
 
- Operate CashPayClinics;
- Display the Provider's profile;
- Promote the Provider's listing;
- Promote the CashPayClinics marketplace;
- Improve search functionality; and
- Provide related services.
 
This permission ends when reasonably practicable after the Provider's content or account is removed, except where continued retention is required by law, legitimate recordkeeping requirements, backup systems, or dispute resolution.
 
 
21. REVIEWS AND RATINGS
 
CashPayClinics may permit patients to submit reviews or ratings.
 
Providers may not:
 
- Purchase fraudulent reviews;
- Submit reviews about themselves;
- Manipulate ratings;
- Threaten patients over legitimate reviews;
- Offer improper incentives for favorable reviews; or
- Attempt to circumvent review safeguards.
 
CashPayClinics may moderate or remove content that violates platform policies or applicable law.
 
CashPayClinics does not guarantee that every review represents the opinion of CashPayClinics or that every review will be favorable to a Provider.
 
 
22. ACCEPTABLE USE
 
Providers may not:
 
- Use CashPayClinics for unlawful purposes;
- Misrepresent identity, credentials, licensing, services, or prices;
- Impersonate another person or organization;
- Harvest patient information or telephone numbers;
- Send unauthorized spam or marketing communications;
- Scrape or systematically extract platform data without authorization;
- Circumvent security controls;
- Attempt unauthorized access to accounts or systems;
- Upload malware or harmful software;
- Interfere with platform operation;
- Engage in fraudulent activity;
- Manipulate rankings, reviews, or appointment activity; or
- Use patient information obtained through the platform for purposes prohibited by law or these Terms.
 
 
23. INTELLECTUAL PROPERTY
 
CashPayClinics and its associated software, design, trademarks, logos, databases, text, graphics, and platform features are owned by or licensed to CashPayClinics and are protected by applicable intellectual-property laws.
 
Providers receive only a limited, revocable, non-exclusive right to access and use the platform according to these Terms.
 
No ownership interest in CashPayClinics intellectual property is transferred to Providers.
 
 
24. PLATFORM AVAILABILITY
 
CashPayClinics strives to maintain reliable platform availability but does not guarantee uninterrupted operation.
 
The platform may occasionally be unavailable because of:
 
- Maintenance;
- Software updates;
- Internet outages;
- Cybersecurity events;
- Third-party failures;
- Technical problems; or
- Circumstances beyond CashPayClinics' reasonable control.
 
CashPayClinics may modify, add, suspend, or discontinue platform functionality as reasonably necessary.
 
 
25. NO GUARANTEE OF BUSINESS RESULTS
 
CashPayClinics does not guarantee that a Provider will receive:
 
- Any minimum number of patients;
- Appointment requests;
- Confirmed appointments;
- Revenue;
- Search ranking;
- Website traffic; or
- Any particular financial result.
 
Provider participation in CashPayClinics is undertaken at the Provider's own business discretion.
 
 
26. DISCLAIMER OF WARRANTIES
 
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASHPAYCLINICS AND ITS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
 
CASHPAYCLINICS MAKES NO GUARANTEE REGARDING PLATFORM AVAILABILITY, PATIENT VOLUME, APPOINTMENT COMPLETION, PROVIDER PERFORMANCE, MEDICAL OUTCOMES, REVENUE, OR FITNESS FOR A PARTICULAR BUSINESS PURPOSE.
 
Nothing in this section excludes warranties or rights that cannot legally be excluded.
 
 
27. LIMITATION OF LIABILITY
 
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CASHPAYCLINICS AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO USE OF THE PLATFORM.
 
CashPayClinics is not responsible for the independent professional acts, omissions, negligence, malpractice, treatment decisions, billing practices, representations, or services of Providers.
 
Nothing in these Terms limits liability where such limitation is prohibited by applicable law.
 
 
28. PROVIDER INDEMNIFICATION
 
To the maximum extent permitted by law, the Provider agrees to defend, indemnify, and hold harmless CashPayClinics and its affiliates, owners, officers, directors, employees, contractors, and agents from claims, damages, losses, liabilities, judgments, penalties, costs, and reasonable legal expenses arising from or relating to:
 
- Healthcare services provided or allegedly provided by the Provider;
- Professional negligence or malpractice;
- Provider billing or pricing;
- Provider's violation of applicable law;
- Provider's violation of these Terms;
- Inaccurate information supplied by the Provider;
- Provider's infringement of third-party rights; or
- Provider's unauthorized use or disclosure of patient information.
 
This obligation applies only to the extent permitted by applicable law.
 
 
29. ACCOUNT SUSPENSION AND TERMINATION
 
CashPayClinics may reject, restrict, suspend, deactivate, or terminate a Provider account when reasonably necessary, including for:
 
- Violation of these Terms;
- Suspected fraud;
- False credentials;
- Misrepresentation;
- Patient safety concerns;
- Expired, restricted, suspended, or revoked professional credentials;
- Unpaid platform fees;
- Security concerns;
- Repeated complaints;
- Abuse of patients or platform users;
- Unlawful activity; or
- Conduct that creates material legal, reputational, security, or operational risk to CashPayClinics.
 
Providers may discontinue their participation according to applicable subscription and cancellation terms.
 
Termination does not eliminate obligations that accrued before termination.
 
 
30. ELECTRONIC RECORDS AND ACCEPTANCE
 
Providers agree that these Terms may be accepted electronically.
 
Checking an acceptance box, clicking an acceptance button, submitting registration, or otherwise electronically indicating agreement constitutes the Provider's electronic acceptance of these Terms to the extent permitted by applicable law.
 
CashPayClinics may maintain records associated with acceptance, including:
 
- Provider name;
- Account information;
- Email address;
- Telephone number;
- Date and time;
- Internet Protocol (IP) address;
- Version of the Terms accepted;
- Acceptance status; and
- Other reasonable electronic audit information.
 
Providers consent to receiving agreements, disclosures, notices, and other communications electronically where permitted by law.
 
 
31. CHANGES TO THESE TERMS
 
CashPayClinics may modify these Terms from time to time.
 
Material changes may be communicated through the website, Provider account, email, or another reasonable method.
 
Where required by law or considered appropriate by CashPayClinics, Providers may be required to affirmatively accept updated Terms before continuing to use the platform.
 
The effective date displayed at the beginning of these Terms identifies the current version.
 
 
32. GOVERNING LAW
 
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable federal law controls.
 
 
33. DISPUTE RESOLUTION AND ARBITRATION
 
To the extent permitted by applicable law, disputes arising from or relating to these Terms or a Provider's use of CashPayClinics that cannot be resolved informally shall be resolved through binding arbitration rather than a court trial.
 
Unless otherwise required by applicable law or agreed by the parties, arbitration shall take place in Bexar County, Texas.
 
Each party retains the right to seek appropriate temporary or injunctive relief from a court of competent jurisdiction when necessary to protect intellectual property, confidential information, security, or other rights for which immediate equitable relief may be appropriate.
 
Nothing in this section prevents either party from bringing an eligible matter in small claims court.
 
The arbitration provision shall be interpreted and enforced in accordance with applicable law.
 
 
34. SEVERABILITY
 
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.
 
 
35. NO WAIVER
 
Failure by CashPayClinics to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
 
 
36. ENTIRE AGREEMENT
 
These Terms, together with the CashPayClinics Privacy Policy, applicable SMS/Text Messaging Terms, subscription terms, and any other policies expressly incorporated by reference, constitute the agreement governing the Provider's use of CashPayClinics, except where the Provider and CashPayClinics have entered into a separate written agreement that expressly supersedes a portion of these Terms.

PROVIDER ELECTRONIC ATTESTATION
 
By checking the required box and submitting my Provider registration, I acknowledge and attest that:
 
- I have read and understand the CashPayClinics Provider Terms of Service.
- I agree to be legally bound by these Terms.
- The information I have provided is accurate and complete to the best of my knowledge.
- I am properly licensed, credentialed, authorized, or otherwise legally permitted to provide the healthcare services that I list on CashPayClinics.
- I understand that I am an independent Provider and that CashPayClinics does not provide, supervise, direct, or control my medical care or professional judgment.
- I accept responsibility for maintaining accurate services, pricing, availability, credentials, and contact information.
- I agree to comply with applicable federal, state, and local laws and professional requirements.
- I understand that CashPayClinics does not guarantee patients, appointments, revenue, or medical outcomes.
- I consent to electronic records and electronic acceptance of these Terms.
- I acknowledge the CashPayClinics Privacy Policy and agree to the applicable SMS/Text Messaging Terms.
